How to Register a Business in Nigeria With CAC in 2026 - Complete Step by Step Guide
Every day in Nigeria, thousands of entrepreneurs are running businesses without CAC registration - unable to open a corporate bank account, ineligible for government contracts and grants, unable to protect their business name legally, and invisible to serious investors and corporate clients. If you are one of them, this guide is exactly what you need.
The good news is that registering a business with the Corporate Affairs Commission (CAC) in 2026 is faster, cheaper, and more accessible than it has ever been. The CAC has built a fully digital portal that enables Nigerians to register a business name from their phone in under 24 hours, for as little as ₦11,000. This guide walks you through everything - the right business structure, the complete step by step process, all official fees, the documents you need, the new 2026 compliance requirements, and exactly what to do after your certificate arrives.
What Is the CAC and Why Does Registration Matter?
The Corporate Affairs Commission (CAC) is the Federal Government agency responsible for the registration and regulation of all businesses, companies, and incorporated organisations in Nigeria. It was established under the Companies and Allied Matters Act (CAMA), which was comprehensively updated in 2020 and continues to be the governing legislation for Nigerian business registration in 2026.
Without CAC registration, your business has no legal standing in Nigeria. Practically, this means you cannot:
- Open a corporate bank account in your business name
- Sign legally enforceable commercial contracts as a business entity
- Bid for government contracts or tenders at any level
- Apply for business loans, grants, or formal financing
- Protect your business name from being registered by a competitor
- Invoice corporate clients who require a registered supplier
- Access government support programmes and free registration cycles
More than 1.5 million businesses have been registered in Nigeria, and the number continues to grow as more Nigerians embrace entrepreneurship. The ones that survive and scale are overwhelmingly the ones that formalised early.
Step 1 - Choose Your Business Structure
Before you touch the CAC portal, you must decide which business structure is right for your situation. The wrong choice can create legal and financial complications later. Here are the three most common options:
Business Name (Sole Proprietorship or Partnership)
The simplest and most affordable registration option. A Business Name registration is for one person (sole proprietorship) or two or more people (partnership) operating under a chosen trading name. It does not create a separate legal entity - you are personally liable for all business debts. Best suited for small businesses, freelancers, traders, and entrepreneurs testing a business idea before scaling. A lawyer is not required for Business Name registration.
Official CAC fee: ₦10,000 registration plus ₦1,000 name reservation = ₦11,000 total minimum.
Processing time: 24 to 72 hours after payment confirmation.
Private Limited Company (LTD)
The most popular choice for serious Nigerian businesses. A Private Limited Company is a separate legal entity from its owners - meaning the company can own assets, enter contracts, sue and be sued in its own name, and your personal assets are protected from business liabilities. Required for businesses seeking investment, entering into significant commercial contracts, or planning to scale significantly. A lawyer is strongly recommended to prepare the Memorandum and Articles of Association (MEMART).
Official CAC fee: Approximately ₦27,800 total - name reservation ₦800 plus registration ₦12,000 plus stamp duty ₦5,000 plus service fee ₦10,000. Online approval in 1 to 2 days for standard applications.
Minimum share capital: ₦100,000 for standard private companies.
Incorporated Trustees (NGO, Church, Association, Foundation)
Required for non-profit organisations, religious bodies, clubs, associations, and foundations. The registration process is more complex and involves additional requirements including newspaper publication. Costs range from ₦50,000 to ₦150,000 depending on complexity. A lawyer is recommended.
Step 2 - Prepare Your Documents
The biggest cause of delayed CAC registration in 2026 is document errors. Prepare everything carefully before you begin your online application. Here is what you need:
For Business Name Registration
- Valid means of identification - National Identity Card (NIN slip or NIN card), International Passport, or Driver Licence
- Recent passport photograph
- Your residential address details
- Your business address details
- Nature of business - a clear description of what your business does
- Your preferred business name - have 2 to 3 alternatives ready in case your first choice is taken
For Private Limited Company Registration
- Valid means of identification for all directors and shareholders
- Passport photographs of all directors and shareholders
- Residential addresses of all directors and shareholders
- Email addresses and phone numbers of all directors
- Memorandum and Articles of Association (MEMART) - prepared by a legal practitioner
- Proposed share capital structure - how shares are divided among shareholders
- Nature of business and business objectives
- Registered business address in Nigeria
Ensure all information across all documents is consistent. Mismatched information between the registration form and uploaded ID documents, blurry or poorly scanned documents, and incorrectly formatted MEMART are the biggest causes of delayed CAC registration in 2026.
Step 3 - Reserve Your Business Name
Visit the official CAC portal at services.cac.gov.ng and create an account using your email address. Once logged in, use the name search tool to check whether your preferred business name is available. CAC does not allow two businesses to share the same name - and names that are too similar to existing registered names will also be rejected.
When searching, try your exact preferred name first, then variations. If your first choice is taken, have alternatives ready. Once you find an available name, pay the ₦1,000 name reservation fee through Remita. Your reserved name is held for 60 days after the reservation fee is paid. Complete your registration within that window.
Step 4 - Complete the Registration Application Online
With your name reserved and documents ready, return to the CAC portal at services.cac.gov.ng and complete the relevant registration form for your chosen business structure. Fill in every field accurately. Upload all required documents - ensure scans are clear, correctly oriented, and show complete document details. Blurry or partial scans are a common rejection reason.
For a Private Limited Company, upload your completed MEMART prepared by your legal practitioner. For Business Name registration, the form is simpler and can be completed without professional assistance.
Step 5 - Pay Your Registration Fees
All CAC fees must be paid through the official portal using Remita. Any agent asking for cash without a Remita receipt is not legitimate. Pay only through the portal. Keep your payment receipts for your records.
Here is a complete 2026 fee summary:
- Business Name - name reservation: ₦1,000
- Business Name - registration fee: ₦10,000
- Business Name - total minimum: ₦11,000
- Private Limited Company - name reservation: ₦800
- Private Limited Company - registration (share capital up to ₦1 million): ₦12,000
- Private Limited Company - stamp duty: ₦5,000 for first ₦1 million share capital
- Private Limited Company - service fee: ₦10,000
- Private Limited Company - total minimum: approximately ₦27,800
- Incorporated Trustees (NGO, Church, Association): ₦50,000 to ₦150,000 depending on complexity
- Accredited CAC agent fees (optional): ₦5,000 to ₦20,000 for Business Name, ₦20,000 to ₦50,000 for LTD
Step 6 - Submit and Track Your Application
Once payment is confirmed, submit your application through the portal. You will receive a tracking number. Use this number to monitor your application status online. For Business Name registrations, the CAC issues digital certificates within 24 to 72 hours for online applications. For private limited companies, online approval takes 1 to 2 working days - a dramatic improvement over previous years.
Once approved, your Certificate of Incorporation or Certificate of Registration will be available for download directly from your CAC portal account. You do not need to visit a CAC office to collect it.
New in 2026 - Persons With Significant Control (PSC) Disclosure
One of the most significant changes to Nigerian business registration compliance in 2026 is the mandatory Persons with Significant Control disclosure requirement. Nigeria's 2026 compliance framework requires all registered entities to identify and report Persons with Significant Control to the CAC's Open Ownership Register. This regulation ensures that the individuals who ultimately own or control a legal entity - even if they are hidden behind layers of corporate shareholders - are known to the authorities.
Non-compliance with PSC disclosure carries penalties. When registering your company in 2026, ensure that all persons with significant control - typically anyone owning 5% or more of shares, or with significant influence over the company - are properly disclosed in your application.
What to Do After You Receive Your CAC Certificate
Your CAC certificate is the beginning - not the end. Many Nigerian entrepreneurs make the mistake of treating registration as the finish line. Here is what you must do after receiving your certificate:
1. Open a Corporate Bank Account
Take your CAC certificate, MEMART (for companies), valid means of identification, and utility bill showing your business address to any commercial bank to open a corporate current account. This is the account through which all business transactions should flow for tax and legal compliance purposes.
2. Obtain Your Tax Identification Number (TIN)
Tax Identification Numbers are now generated automatically upon successful CAC registration, eliminating a separate FIRS step. Check your CAC portal account for your TIN. If it was not automatically generated, visit the Federal Inland Revenue Service (FIRS) portal at firs.gov.ng or any FIRS office with your CAC certificate to obtain it.
3. Register for VAT (if applicable)
If your business expects annual turnover above ₦25 million, you are required to register for Value Added Tax (VAT) with FIRS and charge 7.5% VAT on eligible goods and services. Register through the FIRS TaxPro Max platform at taxpromax.firs.gov.ng.
4. File Annual Returns
Every CAC-registered business is required to file annual returns with the CAC. Failure to file results in penalties and can ultimately lead to the striking off of your business name or company from the register. Annual returns for Business Names cost ₦1,000 per year. For companies, the fee varies by share capital. File through the CAC portal before the deadline each year.
5. Register With Relevant Sector Regulators
Depending on your business sector, additional regulatory registrations may be required beyond CAC. Healthcare businesses register with NAFDAC and the relevant medical council. Financial services require CBN or SEC registration. Educational institutions require state ministry approval. Food businesses may require NAFDAC certification. Research which regulators apply to your specific business and ensure you are compliant.
Can I Do This Without an Agent?
For a simple Business Name registration, you generally do not need a lawyer and can complete the process yourself on the CAC portal. For a Private Limited Company, a lawyer is recommended to prepare the Memorandum and Articles of Association and ensure compliance. CAC requires that the MEMART be prepared by a legal practitioner. Budget ₦20,000 to ₦50,000 for legal fees.
If you prefer to use a registered CAC agent to handle the process, registered CAC agents charge approximately ₦5,000 to ₦15,000 to handle the entire Business Name registration process. Always verify that any agent you use is officially accredited by the CAC - unaccredited agents cannot legally submit CAC applications and are frequently involved in fraud.
Free Business Registration - The CAC-SMEDAN Programme
The CAC-SMEDAN partnership programme registered 250,000 micro and small businesses for free in September 2025 - with more free registration cycles expected in 2026. Monitor the official SMEDAN website at smedan.gov.ng and the CAC website at cac.gov.ng for announcements of new free registration windows. If your business qualifies as a micro or small enterprise, this programme could eliminate your registration costs entirely.
